Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, software, portals, APIs, AI-assisted features, and related services provided by Abode Property Management, Inc. ("Abode," "we," "us," or "our").

By accessing or using Abode, you agree to these Terms. If you use Abode on behalf of a company, property-management business, association, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

1. Scope

These Terms apply to:

  • visitors to Abode's public websites
  • customers that subscribe to Abode
  • users invited to tenant, owner, vendor, HOA, applicant, or similar portals
  • users of Abode's AI-assisted features

If you have a separately signed agreement with Abode, that agreement controls to the extent of any conflict.

2. Eligibility and Accounts

You may use Abode only if you can form a binding contract and comply with applicable law.

You must:

  • provide accurate and current account information
  • keep your credentials secure
  • promptly notify us of suspected unauthorized access
  • be responsible for activity under your account unless prohibited by law

Customers are responsible for managing their users, portal invitations, account permissions, and downstream relationships with tenants, owners, vendors, applicants, and other invited users.

3. Customer and Portal Relationships

Abode provides software tools. Unless we expressly agree otherwise in writing, we are not a party to any lease, management agreement, vendor agreement, association relationship, rent obligation, or other underlying transaction between users.

If you access Abode through a portal provided by a property manager, owner, association, or other customer, that customer may control what data, notices, and features are available to you through the portal.

4. User Responsibilities

You are responsible for:

  • using Abode lawfully and only for authorized purposes
  • ensuring you have the rights, notices, permissions, and consents needed for any data you upload, submit, transmit, or use through Abode
  • reviewing communications, records, calculations, and AI-generated output before relying on them
  • maintaining appropriate internal controls, endpoint security, and account security

Abode is not legal, tax, accounting, investment, or regulatory advice, and the service is not a substitute for professional judgment.

5. Acceptable Use

You may not use Abode to:

  • violate any law, regulation, court order, or third-party right
  • store or transmit unlawful, infringing, deceptive, abusive, harassing, or discriminatory content
  • send spam, unauthorized bulk messages, or unlawful communications
  • probe, scan, reverse engineer, or interfere with the security, integrity, or availability of the service
  • upload malware or malicious code
  • scrape, harvest, or systematically extract data except through authorized product features
  • impersonate another person or misrepresent your affiliation
  • use AI or automation features as the sole basis for high-risk legal, financial, compliance, or other operational decisions without human review

We may suspend or terminate access if we reasonably believe your use violates these Terms, creates security or legal risk, or materially harms Abode, our users, or third parties.

6. Subscriptions and Billing

Paid features may be offered through subscription plans, order forms, or checkout flows.

If you purchase a paid plan:

  • you agree to pay applicable fees, taxes, and charges
  • subscriptions may renew automatically for successive billing periods unless canceled before the next renewal date or as otherwise stated at purchase
  • fees are non-refundable except as required by law or expressly stated by Abode
  • overdue amounts may result in suspension or termination of access

Abode may change pricing or plan structure prospectively by providing reasonable notice.

7. Payments, Banking, and Third-Party Services

Certain features may rely on third-party providers, including payment processors, financial connectivity providers, messaging tools, analytics providers, hosting providers, and AI providers.

In particular:

  • payment processing and payout features may involve Stripe
  • bank-linking and financial account connectivity may involve Plaid
  • AI-assisted features may involve third-party model providers

Those providers may have their own terms and privacy practices. Your use of enabled third-party features may also be subject to those third-party terms.

8. AI Features

Abode may offer AI-assisted features, including chat, parsing, analysis, recommendations, summaries, or automation support.

You acknowledge that:

  • AI output may be incomplete, inaccurate, or inappropriate for a given context
  • AI-assisted features may require human review and oversight
  • you remain responsible for operational, financial, legal, compliance, and customer-facing decisions

Abode does not use customer workspace content to train general-purpose models unless Abode separately discloses that practice and obtains any consent required by law or contract.

9. Electronic Communications

By using Abode, you consent to receive electronic communications from us, including service notices, billing communications, support communications, legal notices, and updates through the product, email, or other electronic means permitted by law.

You are responsible for keeping your email address and account contact information current.

10. Customer Data and Feedback

As between you and Abode, you retain rights in the data you or your users submit to the service, subject to the rights needed for Abode to host, process, transmit, secure, support, and improve the service as permitted by these Terms, our Privacy Policy, and applicable law.

If you provide feedback, suggestions, or ideas about Abode, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or obligation.

11. Intellectual Property

Abode and its licensors own the service, software, documentation, interfaces, branding, and related intellectual property, excluding your data.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABODE PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE" AND DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ABODE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR LEGAL, REGULATORY, ACCOUNTING, OR OPERATIONAL NEEDS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ABODE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
  • IF YOU ARE A PAYING CUSTOMER, ABODE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO ABODE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • IF YOU ARE NOT A PAYING CUSTOMER, ABODE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms limits liability to the extent prohibited by law.

14. Indemnity

You will defend, indemnify, and hold harmless Abode and its affiliates, and their respective officers, directors, employees, and agents, from and against third-party claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your violation of these Terms
  • your misuse of the service
  • your data, content, or communications
  • your failure to obtain required rights, permissions, or consents

This indemnity does not apply to the extent the claim results from Abode's gross negligence, willful misconduct, or violation of law.

15. Arbitration, Class Action Waiver, and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.

Except for claims that may be brought in small claims court if they qualify, and claims seeking temporary or preliminary injunctive relief, any dispute arising out of or relating to these Terms or the service will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules or other applicable AAA rules, by a single arbitrator, in English.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ABODE AGREE THAT ANY DISPUTE MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR PROCEEDING.

Any court proceeding permitted under these Terms, including any action to compel arbitration, enforce an arbitral award, or seek permitted injunctive relief, must be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the service, by email, or by another reasonable method. Your continued use of Abode after updated Terms become effective means you accept the updated Terms.
